Terms of Service
Last updated: 1 July 2025. These terms apply to all services provided by AUZ Gallery Pty Ltd (ABN 90 703 631 396), Melbourne VIC, Australia.
1. Agreement and acceptance
These Terms of Service (the “Terms”) govern the provision of professional business and consulting services by AUZ Gallery Pty Ltd (ABN 90 703 631 396) (“we”, “us”, “our”) to you (“you”, “your”, the “Client”). By engaging us, accepting a quote, or continuing to use our services after being notified of these Terms, you agree to be bound by them. If you do not agree, please do not engage our services.
2. Who we are
AUZ Gallery Pty Ltd is an Australian proprietary limited company operating from Melbourne VIC, providing professional business and consulting services to organisations across Australia. Our full legal name, Australian Business Number and contact details appear in section 16 and in the footer of this website.
3. Our services
We provide professional business and consulting services, which may include business strategy and planning, operational reviews, advisory sessions, process improvement and related support work. The exact scope of any engagement will be set out in the written quote, proposal or statement of work we provide to you. Work outside that agreed scope will only be undertaken with your prior written approval and may attract additional fees.
4. Quotes, engagement and proposals
Quotes provided by us are valid for 30 days from the date of issue unless stated otherwise. A quote does not constitute an acceptance of work until you confirm the engagement in writing and we acknowledge that confirmation. We may decline or decline to continue any engagement where we consider there is a conflict of interest, or where the work falls outside our professional competence.
5. Fees, invoicing and GST
Fees are stated in Australian dollars and are exclusive of GST unless otherwise indicated. Where GST applies, it will be added to our invoices in accordance with A New Tax System (Goods and Services Tax) Act 1999 (Cth). Invoices are payable within 14 days of issue unless a different term is agreed in writing. We may charge interest on overdue amounts at a rate reasonably reflecting our cost of funds, and may suspend work while amounts remain outstanding.
6. Client responsibilities
You agree to provide accurate, complete and timely information reasonably required for us to perform the services; to respond to requests within a reasonable time; to ensure any information, documents or systems you supply are legally obtained and that you have the right to share them with us; and to comply with all applicable laws in connection with the engagement. We rely on the accuracy of the information you provide, and we are not responsible for delays or errors caused by incomplete or incorrect information.
7. Timeframes and delays
Any timeframe we indicate is an estimate only. While we aim to meet agreed deadlines, time is not of the essence unless expressly agreed in writing. We are not liable for delays caused by you, third parties, or events beyond our reasonable control.
8. Intellectual property
All pre-existing intellectual property remains the property of its owner. Upon full payment of our fees, you own the final deliverables prepared specifically for you under the engagement. We retain the right to reuse our general frameworks, methodologies, tools and know-how in other engagements, provided no confidential information of yours is disclosed. Our name, logo and website content remain our property and may not be used without our written permission.
9. Confidentiality
Each party must keep confidential all non-public information received from the other in connection with the engagement, and use it only for the purpose of the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law or a competent authority.
10. Australian Consumer Law guarantees
Nothing in these Terms excludes, restricts or modifies any rights and remedies you have under Schedule 2 of the Competition and Consumer Act 2010 (Cth) (the Australian Consumer Law), including the consumer guarantees, which cannot be excluded. Our services come with guarantees that cannot be excluded under the Australian Consumer Law. For major failures with our services, you are entitled to cancel the contract and receive a refund of the price paid or a proportionate refund for services not yet rendered; for minor failures, we may provide a remedy within a reasonable time. Our goods and services may also come with warranties by third-party suppliers that cannot be excluded under the Australian Consumer Law.
11. Limitation of liability
To the maximum extent permitted by law, and except for liabilities that cannot be excluded under the Australian Consumer Law: (a) our total liability arising out of or in connection with an engagement is limited to the fees paid by you for that engagement; (b) we are not liable for indirect, incidental, special or consequential losses, including lost profits, lost revenue or loss of business opportunity; and (c) where the Australian Consumer Law applies and permits limitation, our liability for a failure to comply with a consumer guarantee is limited, at our option, to re-supplying the services or the cost of re-supplying the services.
12. Third-party tools and providers
We may use or recommend third-party software, platforms or service providers in delivering our services. We do not control those providers and are not responsible for their acts or omissions, their terms of service, or any loss arising from their products, except where we have failed to exercise reasonable care in their selection or instruction.
13. Suspension and termination
Either party may terminate an engagement with 14 days’ written notice. We may terminate or suspend work immediately if you breach a material term of these Terms, fail to pay an overdue invoice after written reminder, or if continuing the engagement would place us in breach of the law or professional standards. On termination you must pay us for work performed up to the termination date, and each party must return or destroy the other’s confidential information on request.
14. Force majeure
We are not liable for any failure or delay in performance caused by events beyond our reasonable control, including natural disasters, epidemics, industrial action, cyber incidents, or failures of public infrastructure or utilities.
15. Amendments to these Terms
We may update these Terms from time to time. The version published on this website applies to new engagements from the date of publication. For a current engagement, the Terms in force at the time the engagement was confirmed will continue to apply unless you agree in writing to the updated version.
16. Governing law and disputes
These Terms are governed by the laws of Victoria, Australia, and the parties submit to the jurisdiction of the courts and tribunals of Victoria. Before commencing proceedings, the parties agree to attempt to resolve any dispute in good faith through direct negotiation for at least 30 days from written notice of the dispute.
17. Privacy
Our collection, use and disclosure of your personal information is governed by our Privacy Policy. Please read it alongside these Terms.
